Articles of Incorporation
Certificate of Incorporation (as Amended)
First: The name of the Corporation is the AMERICAN SOCIETY OF COMPARATIVE LAW, INC.
Second: The purpose for which the corporation is formed is to promote the comparative study of law and the understanding of foreign legal systems; to establish, maintain, and publish without profit a comparative law journal; and to provide for research and the publication without profit of writings, books, papers, and pamphlets relating to comparative, foreign, or private international law.
Third: Deleted.
Fourth: No part of its net earnings shall inure to the benefit of any private individual, and no part of its activities shall consist of carrying on propaganda, or otherwise attempting to influence legislation. Upon dissolution of the corporation, its property, after the payment of all debts, shall be disposed of or applied only for the purposes for which the corporation is organized in the manner provided in the Membership Corporations Law.
Fifth: Its operations are to be conducted principally in the United States of America.
Sixth: The principal office is to be located in the Borough of Manhattan, City, County and State of New York.
Seventh: The number of directors shall not be less than three.
